4. Payment Terms
- Fees are billed as described in your order or subscription plan
- All payments are processed securely via Stripe
- Subscriptions renew automatically until cancelled
- Late payments may result in service suspension
- All prices are in USD unless otherwise specified
5. Intellectual Property
Upon full payment, deliverables (websites, designs, content) become the property of the client. VIP Contractor Agency retains the right to display work in our portfolio. Our pre-existing frameworks, code libraries, and methodologies remain our property.
6. Client Responsibilities
- Provide timely feedback, content, and approvals
- Ensure all materials provided do not infringe third-party rights
- Maintain hosting, domain, and third-party service accounts
- Comply with all applicable laws
7. Acceptable Use
You agree not to:
- Use the services for any illegal purpose
- Attempt to gain unauthorized access to our systems
- Resell or sublicense our services without written permission
- Upload malicious code or content that violates third-party rights
8. Termination
Either party may terminate services with written notice as specified in the order form. We reserve the right to suspend or terminate accounts that violate these Terms.
9. Warranties and Disclaimers
Services are provided "as is" and "as available". We do not guarantee specific business outcomes (lead volume, ranking positions, revenue). We provide a workmanship warranty as described in your service agreement.
10. Limitation of Liability
To the maximum extent permitted by law, VIP Contractor Agency's total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
11. Indemnification
You agree to indemnify and hold harmless VIP Contractor Agency from any claims arising from your use of our services, your content, or your violation of these Terms.
